Terms of Service
1. Acceptance of Terms
By accessing or using ShowStack ("the Service"), available at showstack.io and operated by Lawson Design & Engineering, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users, including free trial users, beta testers, and paid subscribers. By creating an account or accessing the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.
2. Description of Service
ShowStack is a cloud-based software platform designed for professional audio production management, developed and operated by Lawson Design & Engineering. The Service includes tools for managing show documentation, equipment tracking, communication system configuration, mic tracking, and related production workflows.
ShowStack is not affiliated with, endorsed by, or officially connected to any third-party hardware or software manufacturer. References to manufacturer names, equipment types, or file formats within the Service are for compatibility and identification purposes only.
3. Account Registration and Security
To use the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your password and account credentials
- Notify us immediately at showstackapp@gmail.com of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
Lawson Design & Engineering reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
4. Intellectual Property
4.1 Ownership
ShowStack and all of its content, features, and functionality — including but not limited to the software, source code, database architecture, user interface designs, production workflow logic, algorithms, text, and graphics — are owned by Lawson Design & Engineering and are protected by United States and international copyright, trademark, and trade secret laws. "ShowStack" is a trademark of Lawson Design & Engineering.
4.2 License to Users
Subject to these Terms and payment of applicable fees, Lawson Design & Engineering grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal professional use. This license does not include the right to:
- Copy, modify, or distribute the Service or any portion of it
- Reverse engineer, decompile, or disassemble any part of the Service
- Scrape, crawl, or systematically extract data from the Service
- Create derivative works based on the Service
- Sublicense or resell access to the Service
4.3 Your Content
You retain ownership of all data, configurations, and content you create or upload within the Service ("User Content"). By using the Service, you grant Lawson Design & Engineering a limited license to store, process, and display your User Content solely to provide the Service to you.
5. Third-Party Compatibility and Disclaimers
ShowStack is designed to be compatible with certain third-party hardware and software file formats, including but not limited to Clear-Com Arcadia (.cca) configuration files, L'Acoustics Soundvision export formats, and Yamaha console data. All third-party product names, trademarks, and brands referenced in the Service are the property of their respective owners.
Lawson Design & Engineering is not affiliated with, authorized by, or endorsed by any third-party manufacturer. Compatibility features are provided as-is and Lawson Design & Engineering makes no guarantee that compatibility will be maintained as third-party products are updated.
6. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation
- Infringe the intellectual property rights of Lawson Design & Engineering or any third party
- Transmit any unauthorized advertising, spam, or solicitation
- Introduce any virus, malware, or other harmful code
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Use the Service to develop a competing product or service
- Share account credentials with unauthorized parties
7. Subscription, Payment, and Cancellation
7.1 Fees
Access to certain features of the Service requires a paid subscription. Subscription fees, billing cycles, and plan details are described on the ShowStack pricing page. All fees are in US dollars and are non-refundable except as expressly stated in these Terms.
7.2 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to the Service through the end of the paid period.
7.3 Changes to Pricing
Lawson Design & Engineering reserves the right to change subscription pricing with at least 30 days' notice to existing subscribers. Continued use of the Service after a price change constitutes acceptance of the new pricing.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, LAWSON DESIGN & ENGINEERING EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Lawson Design & Engineering does not warrant that the Service will be uninterrupted, error-free, or completely secure. Professional audio production involves time-sensitive and mission-critical workflows. You are solely responsible for maintaining backup copies of your configuration data and for verifying the accuracy of any data generated by the Service before use in a live production environment.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAWSON DESIGN & ENGINEERING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
In no event shall Lawson Design & Engineering's total liability to you for all claims arising out of or related to these Terms or the Service exceed the total amount you paid to Lawson Design & Engineering in the twelve (12) months immediately preceding the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless Lawson Design & Engineering and its owners, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy, including the use of Google Analytics for aggregate usage analysis.
12. Termination
Lawson Design & Engineering may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, Lawson Design & Engineering, or third parties, or for any other reason at our sole discretion.
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, and limitations of liability.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Hillsborough County, Florida.
14. Changes to Terms
Lawson Design & Engineering reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date at the top of this document and, where appropriate, notifying registered users by email. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
